EQS-Adhoc: ABO Energy sells majority of Finnish pipeline to Fortum Oyj

ABO Energy GmbH & Co. KGaA (“Company”) has signed an agreement to sell the majority of

the project pipeline of its subsidiary ABO Energy Suomi Oy (“Subsidiary”), Helsinki

(“Transaction”) to Fortum Oyj (“Buyer”), a leading energy company in Finland. The project

pipeline of the Subsidiary held for sale comprises projects at various stages which amount to

approximately 4.4 gigawatt.

The purchase price comprises a payment at closing in the amount of about EUR 42.2 million on

a debt-and-cash-free basis. Closing is expected in the fourth quarter of 2025. In addition to the

purchase price, the transaction includes earn-out payments in the coming years which are

subject to projects successfully reaching a final investment decision in the future. The

Company expects these payments to add up to another mid-range double-digit million euro

amount over the next few years. The Company will not be involved in the further development

of the projects from the pipeline and will have no influence on the extent to which earn-out

payments will be achieved.

The Transaction will reduce the Company’s market share in the Finnish market notably,

thereby enabling the Company to focus on implementing its project pipeline in other European

markets, particularly in Germany, France and Spain.

The Transaction is subject to customary closing conditions including obtaining the necessary

regulatory approvals in the relevant jurisdictions.

For the time being, the Company does not expect the Transaction to result in any adjustment to

the profit forecast for the 2025 financial year.
