Enapter AG announces the conclusion of a cooperation agreement for the USA. With this agreement, Enapter AG and Solar Invest International SE, Luxembourg ("Partner"/"Distributor") agree on an exclusive partnership and grant the Partner a distribution license for the USA.

To date, Enapter has not had any significant sales activities of its own in the USA.

The Distributor therefore intends to tap the potential of this market and establish a distribution network for Enapter AG products in the USA. As an exclusive partner, the distributor will benefit from Enapter AG's know-how and previous activities in the commercialization and development of AEM technology in the USA with the aim of continuing and commercializing this development work together. In return, the partner will pay a total of EUR 25 million to Enapter AG.

Furthermore, customary arrangements have been made for the future supply of Enapter products.

With the conclusion of this contract, Enapter AG is implementing part of its communicated strategy of establishing international partnerships as planned.

Enapter AG is in discussions regarding further options for such partnerships.

With the conclusion of this agreement, EBITDA for 2023 is expected to be balanced. The originally planned EBITDA for the 2023 financial year amounted to EUR -10 to -11 million. This information is based on preliminary, unaudited figures from the Enapter Group and current planning.
