EQS-Adhoc: HELLA GmbH & Co. KGaA: HELLA sells BHTC shares to AUO Corporation (Taiwan)

Lippstadt, 2 October 2023. HELLA GmbH & Co. KGaA (HELLA) sells its 50 percent stake in the joint venture Behr-Hella Thermocontrol (BHTC) as part of an overall transaction over 100 percent to the listed AUO Corporation (Taiwan). Today, HELLA has signed the relevant agreement with the buyer AUO Corporation and the joint venture partner MAHLE Behr GmbH & Co. KG (MAHLE), part of the MAHLE Group, which is also selling its shares. The total purchase price is based on an enterprise value of 600 million euros. HELLA expects a book profit of around 100 million euros for the BHTC shares. The transaction is currently still subject to approval by the relevant foreign trade and antitrust authorities; closing is expected to take place by mid-2024.
