EQS-Adhoc: Tion Renewables AG: Hopper BidCo GmbH sets cash settlement for the transfer of the shares of the minority shareholders of Tion Renewables AG at EUR 29.19 per share

Grünwald, January 11, 2024 – Hopper BidCo GmbH, an acquisition company which is indirectly held by EQT Active Core Infrastructure SCSp, today confirmed to Tion Renewables AG its formal request of 24 October 2023 regarding the transfer of the shares of the minority shareholders of Tion Renewables AG to Hopper BidCo GmbH against payment of an appropriate cash compensation pursuant to Section 327a para. 1 sentence 1 of the German Stock Corporation Act (AktG).
In this context, Hopper BidCo GmbH announced and specified that it has set the cash compensation to be paid to the minority shareholders as consideration for the transfer of their shares at EUR 29.19 per share of Tion Renewables AG.
The effectiveness of the transfer of the shares of the minority shareholders depends on the approval of the general meeting of Tion Renewables AG and the registration of the transfer resolution in the commercial register of Tion Renewables AG. The resolution of the general meeting on the transfer shall be passed at an extraordinary general meeting of Tion Renewables AG, which is expected to take place in February 2024.
