German Federal Office of Justice applied for the opening of insolvency proceedings in respect of ZhongDe Waste Technology AG

Frankfurt am Main, 11 December 2025 – The German Federal Office of Justice (Bundesamt für Jusitz – “BfJ”) informed ZhongDe Waste Technology AG (“Company”) in a letter received late on 10 December 2025, that the BfJ rejected the Company’s proposal for an instalment plan with regard to a total claim in the amount of EUR 11,820,927.04 and that the BfJ submitted an application for the opening of insolvency proceedings in respect of the Company.

Should the court ultimately rule that the Company enters insolvency proceedings, it may have a significant adverse impact on the Company's normal operations, financial condition and shareholder equity. The Company will make every effort to avoid such adverse outcomes through negotiation or legal means.

The Company's Supervisory Board, Management Board and all management personnel will fulfil their duties diligently to ensure stable operations of the Company and minimize the impact of this incident on the rights and interests of shareholders and investors.
