EQS-News: Delay in the Publication of the 2024 Annual Financial Statements

LIBERO football finance AG announces that the publication of its audited financial statements for the year 2024 will be further delayed due to the following developments:

1. Capital Increase
   The capital increase in cash resolved by the Annual General Meeting on April 2, 2025, has not yet been completed due to an internal reorganization of the company.
   This reorganization includes changes to the Management Board, as announced today in a separate ad-hoc release. As of July 1, 2025, Dr. Dirk Rogowski has been appointed as a new member and Chairman of the Management Board. The current sole Management Board member, Dr. Achim Illner, will step down from his position by mutual agreement as of July 31, 2025, following a transitional phase during which he will oversee the handover of responsibilities to Dr. Rogowski.
   LIBERO remains confident that the capital increase will be successfully implemented in the near term.

2. Barcelona Transaction
   In connection with the pending transaction with FC Barcelona and the related ongoing legal proceedings, several matters remain unresolved. However, the company has recently seen positive developments on the legal front. The Management Board remains confident in reaching a favorable final agreement.

The publication of the audited financial statements for 2024 is now scheduled for August 15, 2025.
