In the transaction, Catalent shareholders will receive only $63.50 in an all-cash transaction that values Catalent at $16.5 billion on an enterprise value basis. The transaction agreement unreasonably limits competing transactions for Catalent by imposing a significant penalty if Catalent accepts a competing bid. Catalent insiders will receive substantial benefits as part of change of control arrangements.
