In the transaction, PCTEL stockholders are expected to receive only $7.00 per share in an all cash transaction with total consideration of approximately $139.7 million. The transaction agreement unreasonably limits competing transactions for PCTEL by imposing a significant penalty if PCTEL accepts a competing bid.
