KAP AG ANNOUNCES CHANGE IN SHAREHOLDER STRUCTURE

Fulda, 21 August 2026 – KAP AG was informed today by its major shareholder, the Carlyle Group, that it has sold a block of shares to the investor Tempus Capital GmbH. Following completion of the sale, the Carlyle Group’s stake in KAP AG will be reduced to 16.5 %. Tempus Capital GmbH will thereby acquire 29,0 % of the outstanding shares of KAP AG. The Carlye Group has informed KAP AG that it will continue to hold an economic interest in the sold shares, in accordance with the agreements reached.

Tempus Capital GmbH is an owner-managed private equity company based in Frankfurt am Main. It focusses on investments in medium-sized companies in German-speaking countries.
