EQS-PVR: Deutsche Wohnen SE: Release according to Article 40, Section 1 of the WpHG [the German Securities Trading Act] with the objective of Europe-wide distribution

On 30 July 2025, WGP Legal Holdings Limited* notified Deutsche Wohnen SE pursuant to Sections 33 and 34 WpHG that (1.) WGP Legal Holdings Limited, (2.) Walkers Professional Services Limited, (3.) Walkers Fiduciary Limited, (4.) AP HGA Manager LLC, (5.) AP Dolphin (Luxembourg) S.à r.l. (the companies listed under 2. to 5. above, the “Other Walkers Entities”) exceeded the thresholds of  3%, 5%, 10% and 15% of the voting rights from shares in Deutsche Wohnen SE on 29 July 2025.

The relevant voting rights are held directly by Delphinus SubCo GmbH and are attributed to WGP Legal Holdings Limited, the Other Walkers Entities, Delphinus TargetCo GmbH and Delphinus HoldCo GmbH (Delphinus TargetCo GmbH, Delphinus HoldCo GmbH and Delphinus SubCo GmbH together the “Delphinus Entities”) pursuant to Section 34 para. 1 s. 1 no. 1 WpHG (WGP Legal Holdings Limited, the Other Walkers Entities and the Delphinus Entities together the “Notifying Parties”).

In accordance with Section 43 para. 1 WpHG, WGP Legal Holdings Limited – in corresponding application of Section 37 WpHG also for the Other Walkers Entities and the Delphinus Entities – discloses the objectives pursued with the acquisition of the voting rights and the origin of the funds used for the acquisition as follows:

1. Objectives pursued with the acquisition of voting rights (section 43 para. 1 S. 3 WpHG)

1.1 The investment is intended to generate trading profits.

1.2 The Notifying Parties do not intend to acquire further voting rights in Deutsche Wohnen SE within the next twelve months by purchase or otherwise.

1.3 The Notifying Parties have no intention of influencing the composition of the administrative, management and supervisory bodies of Deutsche Wohnen SE.

1.4 The Notifying Parties do not intend to significantly change the capital structure of Deutsche Wohnen SE, in particular with regard to the ratio of equity and debt financing and the dividend policy.

2. Origin of the funds used (Section 43 para. 1 s. 4 WpHG)

The funds used for the (indirect) acquisition of voting rights by WGP Legal Holdings Limited and the Other Walkers Entities were 100% debt funds. The Delphinus Entities had originally acquired the voting rights by way of a contribution without using its equity or debt funds.
